Welcome to The Behavioring Company.

These Terms & Conditions (“Terms”) govern your access to and use of websites, programs, memberships, courses, communities, coaching, trainings, digital products, artificial intelligence tools, templates, resources, and other services provided by Hao Enterprises LLC, doing business as The Behavioring Company (“The Behavioring Company,” “we,” “us,” or “our”), including the Behavioring Lab.

By purchasing, enrolling in, accessing, or using any of our products or services, you agree to these Terms. If you do not agree with these Terms, please do not purchase or use our products or services.

1. Educational Purposes Only

The Behavioring Company provides educational and informational resources related to professional branding, influence, behavioral science, communication, marketing, business, career development, and related subjects.

Our programs, content, coaching, community discussions, artificial intelligence tools, templates, and other resources are provided for educational and informational purposes only.

Nothing provided by The Behavioring Company constitutes legal, financial, tax, accounting, investment, medical, mental health, or other regulated professional advice.

You are responsible for evaluating information and making your own professional, career, business, and financial decisions. When appropriate, consult a qualified professional before acting.

2. No Guarantee of Results

We believe the principles, frameworks, and tools we teach can be valuable when appropriately applied. However, we cannot and do not guarantee any particular result.

We make no guarantee that participation in the Behavioring Lab or any other The Behavioring Company program will result in:

  • increased income or revenue;

  • new clients or customers;

  • employment or promotions;

  • consulting engagements;

  • speaking engagements;

  • book deals or publishing opportunities;

  • advisory or board positions;

  • increased followers, subscribers, or audience size;

  • media exposure;

  • professional recognition; or

  • any other specific business, career, financial, or professional outcome.

Your results depend on many factors outside our control, including your experience, skills, effort, consistency, resources, market conditions, audience, implementation, professional circumstances, and other factors.

Past results do not guarantee future results.

Testimonials, case studies, examples, client stories, and results presented by The Behavioring Company represent individual experiences. They should not be interpreted as promises or guarantees that you will achieve the same or similar results.

3. Behavioring Lab Membership

The Behavioring Lab is an ongoing membership program.

Your membership may include access to curriculum, community discussions, live calls, recorded trainings, artificial intelligence tools, templates, workbooks, resources, guest trainings, and other materials.

Specific membership features may evolve over time as we improve the program.

Unless expressly stated otherwise at the time of purchase, membership is personal to the individual who purchased it and may not be shared with another person.

4. Membership Fees and Recurring Billing

The Behavioring Lab is offered as a recurring paid membership unless otherwise stated at checkout.

By purchasing a recurring membership, you authorize Hao Enterprises LLC to charge the payment method you provide at the price and billing frequency disclosed to you at checkout until you cancel your membership.

Your applicable price will be the price presented and agreed to at the time of purchase, including any founding-member, promotional, annual, monthly, or other pricing offered to you.

Applicable taxes may be added where required by law.

Your membership will automatically renew at the applicable billing interval unless you cancel it before your next renewal.

We will clearly disclose the amount and frequency of recurring charges before enrollment and obtain your authorization for recurring billing.

5. Founding Member and Promotional Pricing

From time to time, we may offer special pricing, bonuses, or other benefits to founding members or during promotional periods.

If your offer expressly states that your membership price will remain at a particular rate while you maintain an active membership, we will honor that commitment subject to the terms of that offer.

If you cancel a grandfathered or promotional membership and later choose to rejoin, your previous pricing is not guaranteed. You may be required to join at the price then available.

Promotional bonuses, deadlines, and offers are subject to the specific terms disclosed with that promotion.

6. Cancellation

You may cancel your Behavioring Lab membership at any time.

Cancellation stops future recurring charges. Unless otherwise stated at checkout or required by applicable law, you will continue to have access through the end of the billing period for which you have already paid.

Once that billing period ends, your membership access may terminate, including access to the community, curriculum, recordings, AI tools, templates, resources, and other members-only materials.

Cancellation instructions will be made available through your membership/account interface or another clearly communicated cancellation method.

We will not intentionally create unreasonable barriers to cancellation.

7. Refund Policy

Except where required by law or expressly stated otherwise at the time of purchase, payments are non-refundable. Because membership provides immediate access to digital materials, community resources, tools, trainings, and other intellectual property, we do not provide refunds for membership periods that have already been charged.

Canceling your membership prevents future charges but does not retroactively refund charges already incurred.

8. Live Calls, Trainings, and Events

Membership may include live Q&A calls, workshops, trainings, guest sessions, or other events.

Dates, times, frequency, instructors, guests, and topics may change.

While we intend to provide the membership features described on our sales materials, we cannot guarantee the availability of any particular live event, guest expert, instructor, training, or schedule indefinitely.

We may record certain calls and trainings and make those recordings available to members.

If a session permits participant audio, video, chat messages, questions, or other contributions to appear in a recording, we will communicate applicable recording practices. You are responsible for choosing what personal information you disclose during community activities and live sessions.

9. Community Standards

The Behavioring Lab is intended to be a supportive environment for learning, experimentation, professional development, and collaboration.

By participating, you agree to interact respectfully with other members and not:

  • harass, threaten, discriminate against, or abuse another member;

  • spam or repeatedly solicit members;

  • scrape or harvest member information;

  • add members to marketing lists without their permission;

  • share another member's confidential information outside the community;

  • reproduce or distribute another member's work without permission;

  • impersonate another person; or

  • use the community for unlawful purposes.

Members may naturally develop professional relationships with one another. However, participation in the Lab should not be treated as unrestricted access to solicit or market to other members.

We reserve the right to remove content or suspend or terminate membership for conduct that materially violates these standards.

10. Confidentiality and Member Contributions

Members may share business ideas, career information, strategies, challenges, works in progress, and other information within the Behavioring Lab.

You agree to treat information another member clearly shares as confidential or sensitive with reasonable care and not intentionally disclose it outside the community without permission.

However, we cannot guarantee that other members will maintain confidentiality.

Do not share trade secrets, legally privileged information, highly sensitive personal information, or other information that you cannot risk becoming public.

11. Intellectual Property

Unless otherwise stated, all content provided by The Behavioring Company—including videos, curriculum, frameworks, methods, graphics, presentations, workbooks, templates, prompts, assessments, AI instructions, written materials, recordings, and other resources—is owned by or licensed to Hao Enterprises LLC and is protected by applicable intellectual-property laws.

Your purchase grants you a limited, personal, non-exclusive, non-transferable license to use the materials for your own personal or professional development.

You may not, without our prior written permission:

  • reproduce or redistribute our courses or materials;

  • sell, sublicense, or commercially distribute our materials;

  • share your membership login or paid materials with others;

  • upload our materials to public repositories or file-sharing platforms;

  • use substantial portions of our curriculum to create a competing course, membership, training, certification, or product;

  • remove copyright or proprietary notices; or

  • represent our frameworks or materials as your own.

You may apply what you learn to your own career, professional brand, and business.

12. BEHAVIORING™ and Proprietary Frameworks

Certain names, frameworks, methodologies, graphics, and concepts used within our programs may constitute trademarks, copyrighted works, proprietary methodologies, or other intellectual property of Hao Enterprises LLC.

Participation in a program does not transfer ownership of that intellectual property to you.

Nothing in these Terms prevents you from applying general knowledge, skills, or principles you learn through our programs to your own work.

13. Artificial Intelligence Tools

The Behavioring Lab may provide access to AI-powered coaches, assistants, prompts, custom GPTs, or other artificial intelligence tools.

AI-generated output may contain inaccuracies, omissions, inappropriate suggestions, or outdated information.

You are responsible for reviewing, verifying, and deciding whether to use any AI-generated output.

Do not rely on an AI tool provided through The Behavioring Company as a substitute for professional legal, financial, medical, tax, or other regulated advice.

Availability and functionality of third-party AI services may change without notice and may be outside our control.

14. Third-Party Platforms and Services

We may use third-party platforms and service providers to deliver portions of our services, including community platforms, payment processors, email providers, video conferencing services, artificial intelligence providers, analytics tools, and other technology providers.

Your use of those services may also be subject to their respective terms and privacy policies.

We are not responsible for outages, changes, discontinuation, data loss, or other issues caused by third-party services outside our reasonable control.

15. Your Content

You retain ownership of original content you create and submit to the Behavioring Lab.

By intentionally posting content within community areas, you grant us a limited license to display and process that content as reasonably necessary to operate and provide the community and related services.

We will not claim ownership of your professional brand, ideas, business, original frameworks, or other original intellectual property merely because you discuss or develop them inside the Behavioring Lab.

We will not publicly use your name, likeness, testimonial, or identifiable results for promotional purposes without permission where permission is required by applicable law.

16. Testimonials and Feedback

If you voluntarily provide a testimonial, review, feedback, or success story and separately authorize us to use it for promotional purposes, we may use the authorized material in accordance with that permission.

We may edit testimonials for length, grammar, or clarity provided that we do not materially alter their meaning.

You may contact us regarding future use of your testimonial, subject to any rights already granted and applicable law.

17. Availability of Services

We may modify, update, replace, or discontinue portions of our programs and services as they evolve.

We may also temporarily suspend access for maintenance, security, technical issues, circumstances beyond our reasonable control, or violations of these Terms.

We do not guarantee uninterrupted or error-free access.

18. Termination

We reserve the right to suspend or terminate access when a member materially violates these Terms, abuses another member, engages in fraudulent or unlawful activity, infringes intellectual property, improperly distributes membership content, or otherwise materially disrupts the community or services.

Where reasonable under the circumstances, we may provide notice or an opportunity to correct the issue before termination.

Nothing in this section limits rights you may have under applicable consumer-protection law.

19. Disclaimer of Warranties

To the fullest extent permitted by applicable law, our products and services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.

We do not warrant that our services will be uninterrupted, error-free, or suitable for every individual's particular objectives.

Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

20. Limitation of Liability

To the fullest extent permitted by applicable law, Hao Enterprises LLC and its owners, employees, contractors, representatives, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of our products or services.

To the fullest extent permitted by applicable law, our aggregate liability arising out of or relating to a product, program, or membership will not exceed the amount you paid to us for that product, program, or membership during the 12 months immediately preceding the event giving rise to the claim.

These limitations do not apply where prohibited by law and do not waive or limit statutory consumer rights that cannot legally be waived.

21. Privacy

Your use of our websites and services is also subject to our Privacy Policy, which explains how we collect, use, disclose, retain, and protect personal information.

Where applicable, privacy rights granted by law are not waived or limited by these Terms. Minnesota's Consumer Data Privacy Act expressly provides that contractual provisions purporting to waive or limit rights under the Act are unenforceable.

22. Changes to These Terms

We may update these Terms periodically to reflect changes in our services, business practices, or applicable law.

The “Last Updated” date at the top of this page indicates when these Terms were most recently revised.

If a change materially affects an existing paid membership or rights that applicable law requires us to communicate separately, we will provide notice as required by law.

Continued use of our services following the effective date of updated Terms constitutes acceptance of those Terms to the extent permitted by law.

23. Governing Law

These Terms and any dispute arising out of or relating to these Terms, your use of our websites, or your purchase or use of our products, programs, memberships, or services will be governed by the laws of the State of Minnesota, without regard to its conflict-of-law principles.

To the extent permitted by applicable law, you and Hao Enterprises LLC agree that any legal action or proceeding arising out of or relating to these Terms or our products or services will be brought exclusively in the state courts located in Ramsey County, Minnesota, or the applicable federal court serving Ramsey County, Minnesota, and each party consents to the personal jurisdiction and venue of those courts.

Nothing in this section limits any rights or remedies available to consumers that cannot lawfully be waived or restricted under applicable law.

24. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.

25. Entire Agreement

These Terms, together with any applicable order form, checkout terms, offer-specific terms, Privacy Policy, and other policies expressly incorporated by reference, constitute the agreement between you and Hao Enterprises LLC regarding the applicable products and services.
